Milestone Capital Advisors advised Cadia Group, a privately-owned regional-based distributor of civil plumbing supplies on the sale of its business to Jaybro (owned by private equity firm CPE). Having only gone to market a week prior to COVID-19 entering Australia we deliberately slowed the sale process to provide time for prospective purchasers to sure up their own business and ensure we kept prospective purchasers engaged in the sale process. Milestone Capital Advisors identified approximately 90 prospective purchasers including industry players and private equity investors to approach. This resulted in 17 information memorandums being distributed to prospective purchasers and multiple offers being received for the business. Milestone Capital Advisors was also responsible for preparing the Information Memorandum, negotiation of the term sheet, preparing the due diligence materials and project managing the due diligence process, appointment of the legal advisors, negotiation of the sale agreement, and attending to final purchase price adjustments including entitlement to an earnout payment.

Milestone Capital Advisors advised ABC Transport on various strategic options for their business which ultimately led to the decision to approach Gilberts Transport to seek to acquire their business. Both ABC Transport and Gilberts Transport operate in the refrigerated transport industry servicing South Australia and Northern Territory. Milestone Capital Advisors was responsible for establishing what the value of the Gilberts Transport business, preparing the offer to acquire the business, project managing the due diligence process and appointment of accounting, taxation and legal advisors, introducing CBA as the new debt funder, negotiation of the sale agreements and attending to settlement and post settlement financial adjustments.

Case Study

A business owned by six senior management, with the two largest shareholders controlling 70% of the business, wished to retire and sell their interest in the business. Given the significant value of the two controlling shareholders stake in the business it was not possible for the remaining shareholders to fund the buyout. We were able to engineer a transaction whereby the four smaller shareholders increased their stake in the business to 50% whilst simultaneously bringing in an equity investor to acquire the remaining stake held by the controlling shareholders.
